Terms of Service

These Terms of Service ("Terms") govern your use of the Crew Rivet platform operated by Avion LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Crew Rivet is a business automation platform for trades and service businesses. The Service includes invoicing, SMS messaging, quote generation, scheduling, review management, and related features. The Service is provided on a subscription basis.
2. Account Registration
- You must be at least 18 years old to use the Service.
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- One account per business. Each account represents a single business entity.
3. Acceptable Use
You agree to use the Service only for lawful business purposes. You must not:
- Send spam, unsolicited messages, or messages to people who have not consented to receive them.
- Use the Service to harass, threaten, or defraud anyone.
- Send messages that violate TCPA, CTIA guidelines, or applicable telecommunications laws.
- Upload malicious content, viruses, or harmful code.
- Attempt to access other users' data or circumvent security measures.
- Resell, sublicense, or redistribute the Service without written permission.
- Reverse-engineer, decompile, disassemble, or attempt to derive or extract the source code, algorithms, AI models, or underlying structure of the Service.
- Use automated tools (bots, scrapers, crawlers) to access, copy, or harvest the Service or its data without our prior written permission.
- Copy, modify, frame, mirror, or create derivative works of the Service or any part of it, or use it to build a competing or substantially similar product or service.
- Use the Service for any illegal activity.
4. SMS Messaging Responsibilities
When using Crew Rivet's messaging features, you acknowledge and agree that:
- You are the sender of all messages sent through your account and are solely responsible for their content and compliance.
- You will obtain proper prior express consent from each recipient before sending them messages, as required by the Telephone Consumer Protection Act (TCPA) and applicable state laws.
- You will honor all opt-out requests immediately. Crew Rivet automatically processes STOP requests, but you must not attempt to circumvent opt-outs.
- You will include your business name in messages so recipients know who is contacting them.
- You will not use the messaging features for marketing messages unless you have obtained prior express written consent from the recipient.
- You are responsible for any fines, penalties, or legal claims arising from messages sent through your account.
5. Subscriptions and Payment
- Free Trial: New accounts receive a 60-day free trial with full access to the Service.
- Billing: After the trial period, you must subscribe to a paid plan to continue using the Service. Subscriptions are billed monthly through Stripe.
- Price Changes: We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing cycle.
- Cancellation: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No refunds for partial months.
- Messaging Costs: SMS messages sent through the Service may incur per-message fees based on your plan and volume. Current rates are disclosed on the pricing page.
6. Your Data
- You retain ownership of all data you upload to the Service, including customer information, invoices, quotes, and messages.
- You grant us a limited license to process your data solely to provide and improve the Service.
- We will not sell or share your data except as described in our Privacy Policy.
- Upon account cancellation, your data will be retained for 30 days and then permanently deleted. You may request an export before deletion.
7. AI Features
The Service uses artificial intelligence for message classification and quote generation. You acknowledge that:
- AI-generated content (such as draft quotes from voice notes) requires your review and approval before being sent to customers.
- AI classification of inbound messages is not guaranteed to be 100% accurate. Messages with low classification confidence are flagged for your manual review.
- The Service will never send AI-generated messages to your customers without your explicit approval or use of a pre-approved template.
8. Payments and Payouts
- Payment Processing: Customer payments are processed through Stripe. By using the payment features, you agree to Stripe's Connected Account Agreement and Terms of Service.
- Instant Payouts: If you enable instant payouts, funds are transferred to your bank account via Stripe within minutes. A 1% fee (charged by Stripe) applies to instant payouts. Standard payouts (free, 2 business days) are available as an alternative.
- Payout Accuracy: We are not responsible for payout delays or failures caused by incorrect banking information, Stripe account restrictions, or bank processing issues.
9. Consumer Financing
- If you enable consumer financing through the Service, financing is provided by a third-party provider (Wisetack or Hearth), not by Crew Rivet or Avion LLC.
- We do not make credit decisions, guarantee financing approval, or set financing terms.
- You are responsible for ensuring that financing offers displayed to your customers are accurate and comply with applicable lending disclosure laws.
- Monthly payment estimates shown on quotes are approximations and may differ from actual financing terms offered by the provider.
10. GPS and Location Tracking
The Service includes optional GPS tracking features for field crews. When enabled:
- Location data is collected from Authorized Users only during active work sessions when the tracking feature is enabled by you (the account owner).
- You are responsible for informing your employees and contractors that their location is being tracked and obtaining any required consent under applicable labor and privacy laws.
- Location data is used solely to provide dispatch, routing, and customer-facing technician tracking features.
- GPS data is retained for 12 months and then automatically deleted.
- Employees and contractors can see when tracking is active via the Service interface.
11. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service.
- We may perform scheduled maintenance with reasonable advance notice.
- We are not liable for delays or failures caused by third-party services (SMS carriers, payment processors, etc.).
12. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. AI-POWERED FEATURES ARE PROVIDED FOR CONVENIENCE ONLY — YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI-GENERATED CONTENT BEFORE RELYING ON IT OR SENDING IT TO YOUR CUSTOMERS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. IF YOU ARE ON A FREE PLAN, OUR MAXIMUM LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless Avion LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any law or regulation, including but not limited to TCPA violations resulting from messages sent through your account.
15. Termination and Data Export
- You may cancel your account at any time. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. We will provide reasonable notice unless the violation requires immediate action.
- Upon termination, you have 30 days to export your data. You may request a full export by contacting us. After 30 days, your data will be permanently deleted.
- Sections that by their nature should survive termination will survive, including Sections 6, 7, 12, 13, 14, 16, 17, and 22.
16. Dispute Resolution
- Informal Resolution: Before filing any formal proceeding, you agree to contact us at [email protected] to attempt to resolve the dispute informally for at least 30 days.
- Binding Arbitration: If informal resolution fails, any dispute shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration shall take place in Santa Barbara County, California, or remotely as agreed.
- Class Action Waiver: YOU AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
- Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. To the extent litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts in Santa Barbara County, California.
18. DMCA Notice Procedure
If you believe content on the Service infringes your copyright, send a written notice to [email protected] including: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, and (5) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner. We will respond in accordance with the Digital Millennium Copyright Act.
19. Force Majeure
Neither party shall be liable for failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, pandemics, war, terrorism, power outages, internet failures, or cyberattacks. This does not excuse your obligation to pay fees already due.
20. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service before the changes take effect.
21. General
- Severability: If any provision is held invalid, the remaining provisions continue in full force.
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us.
- Waiver: Our failure to enforce any provision does not waive that provision.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
22. Our Intellectual Property
- The Service — including its software, source code, AI models, algorithms, design, user interface, branding, and content (excluding your Customer Data) — is the exclusive property of Avion LLC and is protected by copyright, trade secret, and other intellectual property laws.
- "Crew Rivet" and "CrewRivet" and associated logos are trademarks of Avion LLC. You may not use them without our prior written permission.
- We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. This license grants you no ownership of, or rights in, the Service itself.
- All rights not expressly granted to you are reserved by Avion LLC. Any unauthorized copying, distribution, or use of the Service or its underlying technology is strictly prohibited.
- If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use them without obligation to you.
